Companies and Partnerships
Our specialist company formation solicitors work from our offices in Dorset and Wiltshire and can assist with the formation or restructuring of businesses.
We can help with the setting up of companies whether limited by shares or by guarantee and the formation of Limited Liability Partnerships (LLP’s). Additionally, we can prepare the documentation for a sole trader or partnership to transfer to a limited company or a partnership to transfer to an LLP.
We can also deal with company restructuring where we work closely with accountants.
In the case of companies with more than one shareholder, we recommend that a Shareholders Agreement is entered into between the parties. This covers the running of the company and provides for exit routes for shareholders. We have vast experience in the drafting of these agreements to suit your particular circumstances.
We are also experts in the drafting of Partnership Agreements whether between the partners of a traditional partnership or those of an LLP. Being based in a rural area we have particular expertise in the preparation of Family Farming Partnership Agreements.
We can also provide general company law advice on issues such as directors duties, minority protection and exit planning. For partnerships, we can advise on the law relating to traditional partnerships and LLP’s.

Written by: Nigel Mills, employment law specialist with Farnfields solicitors. “What’s in a name?” asks Shakespeare’s Juliet, declaring that a rose would smell just as sweet whatever we call it. But that argument is unlikely to hold water in today’s working environment. Getting names exactly right is increasingly important, whether it’s the pronoun you use
